Terms of Service

1. Acceptance of terms

By accessing this site, creating an account, or placing an order, you agree to be bound by these Terms of Service and all policies referenced herein, including our Physician Use Only Disclaimer, Privacy Policy, Refund Policy, and Shipping Policy.

2. Eligibility

You must be at least 21 years old and a licensed practitioner, clinic, or other qualified purchaser to buy. You must hold and maintain any license, registration, or credential required in your jurisdiction, and keep it in good standing. We may request verification (including NPI or license information) and may decline or revoke access at our discretion.

3. Products — physician use only

All products are supplied for physician use only and are sold exclusively to licensed practitioners and qualified purchasers, never to the general public. See our Physician Use Only Disclaimer, which is incorporated into these Terms by reference.

4. Orders, pricing, and acceptance

All orders are offers to purchase and are subject to acceptance by us. We may refuse, limit, or cancel any order for any reason, including suspected misuse, regulatory concerns, or errors in pricing or availability. Wholesale and clinic pricing is confidential and provided solely for your account.

Prices are subject to change without notice. We are not liable for typographical or pricing errors and may correct them and cancel affected orders.

5. Payment

Payment is processed through third-party payment providers. You represent that you are authorized to use the payment method provided and that all information is accurate.

6. Shipping and risk of loss

Shipping terms are described in our Shipping Policy. Title and risk of loss pass to you upon our delivery of the products to the carrier.

7. Returns

Returns and refunds are governed by our Refund Policy.

8. Compliance with laws

You are solely responsible for complying with all laws, regulations, and professional standards applicable to your purchase, possession, handling, dispensing, and use of the products, including import/export controls and any rules governing your license. You agree not to use or resell any product in violation of applicable law, or to resell to anyone who is not a licensed practitioner or qualified purchaser.

9. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED ON A PRODUCT'S CERTIFICATE OF ANALYSIS, ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM A PRODUCT OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT AT ISSUE. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of any product, or your violation of any law.

12. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which the seller is organized, without regard to conflict-of-laws principles. Any dispute shall be resolved in the state or federal courts located in that jurisdiction, and you consent to personal jurisdiction there.

13. Changes

We may update these Terms at any time. Continued use of the site or placing an order after changes are posted constitutes acceptance of the revised Terms.
